Terms of Use – IdelerTime Microsoft Teams Integration

§ 1 Scope and Description of Services

1. These Terms of Use govern the use of the Microsoft Teams integration of the cloud-based time tracking software IdelerTime (hereinafter referred to as the “Service”), which is operated by Ideler IT-Service GmbH (hereinafter referred to as the “Provider”).

2. The Teams integration enables users to utilize IdelerTime’s time tracking features directly within Microsoft Teams, specifically to start and stop time tracking, view time entries, and manage projects and tasks.

3. The Service is intended exclusively for businesses and commercial users (B2B). Use by consumers as defined in § 13 of the German Civil Code (BGB) is not intended.

4. Any deviating, conflicting, or supplementary terms and conditions of the user shall not become part of this agreement unless the Provider expressly agrees to their validity in writing.

§ 2 Registration and Conclusion of the Contract

1. An active IdelerTime account is required to use the Teams integration. Registration takes place at IdelerTime.

2. The contract is concluded when the provider activates the user account or when the subscription is activated.

3. The user is required to provide complete and accurate information during registration. Any changes must be updated in the user account immediately.

4. Login credentials must be treated confidentially and may not be disclosed to third parties. The user is liable for all actions taken under their account, provided they are responsible for such actions.

§ 3 Right of Use

1. The Provider grants the User a non-exclusive, non-transferable right to use the Service and the Teams integration for the duration of the contract.

2. This right includes access to the Service in accordance with its intended purpose via the official Teams app and via the web interface at IdelerTime.

4. All rights to the Service, including all software, algorithms, user interfaces, and documentation, remain with the Provider. The right of use automatically expires upon termination of the contract.

§ 4 Prices and Payment

1. Use of the service is based on the currently valid subscription plan, which can be viewed at IdelerTime.

2. All prices are exclusive of applicable value-added tax.

3. The subscription fee is due and billed in advance according to the selected payment interval (monthly or annually).

4. In the event of late payment, the Provider is entitled to temporarily suspend access to the Service and to charge late payment interest at a rate of 4% per annum above the respective base rate of the European Central Bank.

5. The Provider reserves the right to adjust prices with at least 30 days’ notice prior to the effective date.

§ 5 Term and Termination

1. The contract is for an indefinite term and may be terminated by either party with 30 days’ notice effective at the end of the current billing period, unless a different subscription term has been agreed upon.

2. The right to terminate the contract for cause remains unaffected. In particular, the Provider shall be deemed to have good cause if the User violates material provisions of these Terms of Use or is more than 30 days in arrears with payments.

3. Upon termination of the contract, all of the user’s data will be stored for a period of 30 days so that the user has the opportunity to export it. After that, the data will be completely and irretrievably deleted. Further details are set forth in the Privacy Policy.

4. The user may terminate the contract through their IdelerTime account.

§ 6 Availability and Support

1. The Provider aims for a monthly average service availability of 99%, excluding scheduled maintenance windows and circumstances beyond the Provider’s control.

2. Scheduled maintenance will be announced to the User in advance whenever possible and will preferably be carried out during periods of low usage.

3. There is no entitlement to uninterrupted, error-free availability. Temporary restrictions due to technical malfunctions, force majeure, or necessary maintenance measures do not entitle the user to terminate the contract or reduce the fee, unless they are due to the Provider’s willful misconduct or gross negligence.

§ 7 Data Protection

1. The collection, processing, and use of personal data are carried out exclusively in accordance with applicable data protection regulations, in particular the General Data Protection Regulation (GDPR) and the Federal Data Protection Act (BDSG).

2. Details regarding the nature, scope, and purpose of data processing, the retention period, deletion, and the rights of users can be found in the separate Privacy Policy.

3. To the extent that the Provider processes personal data of the User’s employees or customers in connection with the use of the app, it acts as a data processor within the meaning of Article 28 of the GDPR. The parties shall enter into a separate data processing agreement for this purpose.

4. The Teams integration accesses only the permissions necessary for the intended operation of the app. User data will not be disclosed to third parties without consent or a legal obligation to do so.

§ 8 User Obligations

1. The user is responsible for all content and data that he or she enters or stores while using the service. The user shall ensure that this content does not infringe on the rights of third parties and does not violate applicable law.

2. The user is personally responsible for ensuring that the necessary technical requirements are met on their end (in particular, Microsoft Teams access, an internet connection, and compatible devices).

3. The user must immediately notify the provider if there are indications of misuse of their login credentials or unauthorized use of their account.

§ 9 Limitation of Liability

1. The Provider bears unlimited liability in cases of willful misconduct or gross negligence, as well as for damages resulting from injury to life, limb, or health.

2. In cases of slight negligence, the Provider is liable only for the breach of a material contractual obligation (cardinal obligation), i.e., an obligation whose fulfillment is essential for the proper performance of the contract. In such cases, liability is limited to the amount of damage that was foreseeable at the time the contract was concluded and is typical for this type of contract.

3. Any further liability for damages is excluded. Liability under the Product Liability Act remains unaffected.

4. The Provider is not liable for data loss resulting from improper use or technical errors on the part of the user or Microsoft.

5. The Provider assumes no liability for outages or limitations of the Microsoft Teams platform that are beyond the Provider’s control.

§ 10 Changes to the Terms of Use

1. The Provider reserves the right to amend these Terms of Use. The User will be notified of any changes via email or through a notice within the Service at least 30 days before they take effect.

2. If the user does not object to the amended terms within 30 days of receiving the notice, the amended terms shall be deemed accepted. The Provider will expressly point out this consequence in its notice.

3. In the event of an objection, the user has the right to terminate the contract as of the effective date of the changes.

§ 11 Governing Law and Jurisdiction

1. The laws of the Federal Republic of Germany shall apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

2. To the extent permitted by law, the exclusive place of jurisdiction for all disputes arising out of or in connection with this contract shall be the registered office of Ideler IT-Service GmbH.

3. Should any provision of these Terms of Use be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely approximates the economic purpose of the invalid provision.
